Issue: Did a valid contract for the sale of the guitar come into existence between Astrid and Ben?

Rule: A valid acceptance must be unconditional and must mirror the terms of the offer (the ‘mirror image rule’). A purported acceptance that introduces new terms is a counter-offer, which destroys the original offer (Hyde v Wrench (1840)). Once an offer is revoked, it can no longer be accepted. Revocation of an offer may be communicated by the offeror or through a reliable third party; an offer for a unilateral contract cannot be revoked once performance has begun, but for a bilateral contract, revocation is possible before acceptance is complete. The postal rule provides that acceptance by post takes effect when the letter is posted, but this rule does not apply to offers made by post unless the letter of acceptance is properly addressed and posted.

Application: On 3 May, Ben’s email was not a valid acceptance because it added a new term (the inclusion of the hard case for £50). That email was a counter-offer. By law, a counter-offer terminates the original offer. Therefore, Astrid’s original offer of £1,200 was no longer open for acceptance from that moment. Astrid’s sale to Chloe on 5 May was not a legal revocation communicated to Ben, but because the original offer had already been extinguished by Ben’s counter-offer, there was no need for revocation. Ben’s later postal acceptance on 6 May was ineffective as there was no standing offer to accept. Even if the original offer had survived, Ben’s counter-offer would have impliedly rejected it. Consequently, no contract arose.
