Choosing the right legal structure is one of the most important decisions an entrepreneur will face. The type of business organisation affects ownership, control, sources of finance, liability and the ability to expand. 1. Sole Trader | 个体经营者

A sole trader is a business owned and run by a single individual. It is the simplest and most common form of business organisation, especially for small local shops, hairdressers, plumbers and freelance designers.

The owner keeps all the profits after tax and has total control over daily decisions. There is no need to consult partners or shareholders, so the business can respond quickly to market changes.

Sole traders are very easy to set up with few legal requirements, low start-up costs and simple accounting. However, they face unlimited liability, meaning personal assets like a house or car can be seized to pay business debts.

2. Partnership | 合伙企业

A partnership involves two or more people (typically 2 to 20) who agree to own and run a business together. Partnerships are common among professionals such as doctors, dentists, accountants and solicitors.

Partners usually sign a Deed of Partnership which sets out how profits are shared, the capital contributed by each partner, and how disputes will be resolved. Without a deed, the law may assume equal profit sharing.

However, ordinary partnerships also carry unlimited liability for all partners. Each partner is jointly and severally liable, so one partner’s mistake can put all partners’ personal assets at risk.

Decision-making can be slower because partners must agree, and disagreements can damage the business. Furthermore, partnerships cannot sell shares on the stock exchange, which limits growth funds.

Limited partnerships exist, but for GCSE you mainly need to know that ordinary partners face unlimited liability – a major drawback compared with companies.

3. Private Limited Company (Ltd) | 私人有限公司

A private limited company is an incorporated business that exists as a separate legal entity from its owners (shareholders). The company’s name ends with ‘Ltd’ and shares cannot be sold on the stock exchange.

Incorporation creates limited liability, so shareholders only lose the money they have invested if the company fails. Personal assets are protected, which encourages investment and risk-taking.

Ownership is restricted to a small group, often family members or friends, and shares can only be transferred with the agreement of other shareholders. This keeps control tightly held.

Compared with sole traders, Ltd companies find it easier to raise finance through loans and by issuing more shares to existing shareholders. They also have a more professional image.

However, setting up a private limited company involves more legal requirements, such as registering with Companies House and producing documents like the Memorandum of Association and Articles of Association. Annual accounts must also be made public to some extent.

4. Public Limited Company (plc) | 公众有限公司

The ability to raise huge amounts of capital by selling shares publicly is a major advantage. This allows plcs to fund expansion, research and development, and compete internationally.

Limited liability remains, protecting shareholders’ personal wealth. A plc also enjoys high status and trust, which helps with borrowing and attracting top talent.

However, becoming a plc involves strict legal controls, expensive flotation costs and the requirement to publish detailed annual reports. Anyone can buy shares, which means the original owners may lose control if a majority of shares are purchased by outsiders.

For CIE exams, it is vital to compare Ltd and plc: both have limited liability and separate legal identity, but a plc can raise more capital yet faces more regulation and risk of takeover.

5. Franchise | 特许经营

A franchise is a business arrangement where one party (the franchisor) grants another party (the franchisee) the right to use its name, products and systems in exchange for fees and royalties.

For the franchisee, a major advantage is selling a proven brand with established customer awareness. This reduces the risk of failure compared with starting an independent business from scratch.

Franchisees usually receive initial training, ongoing support, bulk-buying advantages and national marketing campaigns paid for by the franchisor. Banks are often more willing to lend to a franchise with a track record.

6. Joint Venture | 合资企业

A joint venture occurs when two or more businesses pool resources for a specific project, sharing capital, risks, expertise and profits for a defined period while remaining separate entities outside the venture.

Joint ventures allow companies to enter new geographical markets or industries by using the local knowledge and distribution networks of a partner. Risks are shared, reducing the burden on any single firm.

7. Social Enterprises and Cooperatives | 社会企业与合作社

Social enterprises are businesses that trade for social or environmental purposes, reinvesting most of their profits back into their mission rather than maximising returns for owners. They can take many legal forms, including limited companies.

8. Public Corporations | 公营企业

Public corporations, also known as state-owned enterprises, are businesses owned and operated by the government. Examples often include postal services, railways and water supply companies in some countries.

The main objective is usually to provide essential services to the public rather than to maximise profit. They can be funded by taxes and government budgets, which means they can operate even if they make losses.

Governments can use public corporations to ensure that vital services remain affordable and widely available, and to protect jobs in strategic industries. They can also plan long-term investment without shareholder pressure.

However, public corporations are often criticised for inefficiency because they lack a strong profit incentive. Without competitive pressure, they may be slow to innovate or control costs.

9. Limited vs Unlimited Liability | 有限责任与无限责任对比

Unincorporated businesses (sole traders and ordinary partnerships) have unlimited liability. Incorporated businesses (Ltd and plc) have limited liability because the company is a separate legal entity from its owners.

For many small businesses, unlimited liability is accepted in exchange for simplicity and full control. As a business grows, the desire to protect personal assets often drives the switch to incorporated status.
