📚 Business Structure: Legal Forms and Strategic Choices |

Business structure is one of the first strategic decisions an entrepreneur must make because it shapes ownership, liability, control, taxation, and the ability to raise finance. In Cambridge A-Level Business, understanding the main legal forms of business and the factors that influence their choice is essential for both short-answer and case-study questions.

1. What is Business Structure? |

Business structure refers to the legal and organisational framework through which a business operates. It determines who owns the business, who makes decisions, how profits are distributed, and the extent to which owners are personally liable for business debts. In Cambridge A-Level Business, choosing an appropriate structure is treated as a strategic decision because it affects a firm’s ability to raise finance, manage risk, and pursue growth.

A clear understanding of business structure helps students evaluate the trade-offs between control, liability, and access to capital. Different structures suit different business sizes, risk profiles, and long-term objectives.

2. Economic Sectors and Business Activity |

Business activity is usually classified into four sectors: primary, secondary, tertiary, and quaternary. The primary sector extracts raw materials, the secondary sector manufactures goods, the tertiary sector provides services, and the quaternary sector focuses on knowledge-based services such as information technology and research and development.

  • Primary sector: extraction of raw materials, such as farming, fishing, and mining. |
  • Secondary sector: manufacturing and construction. |
  • Tertiary sector: services, including retail, transport, and education. |
  • Quaternary sector: knowledge-based activities, including IT, consulting, and R&D. |

The relative size of each sector changes as an economy develops. Many emerging economies shift from primary to secondary and then to tertiary activities, which has implications for business location, employment, and government policy.

3. Public Sector vs Private Sector |

The public sector consists of organisations owned and controlled by the government, such as state schools, public hospitals, and nationalised industries. Their primary objective is often to provide essential services rather than to maximise profit.

The private sector is made up of businesses owned by individuals or groups of individuals. Private sector firms range from sole traders to multinational corporations and generally aim to generate profit, although social enterprises may pursue social or environmental goals.

Exam questions may ask you to compare efficiency, accountability, and service quality between the two sectors. Public sector bodies may be less profit-driven but can also be slower to respond to consumer demand, while private firms face competitive pressure to control costs and innovate.

4. Sole Trader |

A sole trader is a business owned and run by one person. It is the simplest and most common legal structure, often used by small retailers, tradespeople, and freelance professionals. There is no legal distinction between the owner and the business.

Key advantages include easy and inexpensive set-up, complete control over decision-making, and the owner keeps all profits after tax. Because there are few legal formalities, a sole trader can also respond quickly to changing market conditions.

However, the owner has unlimited liability, meaning personal assets can be used to pay business debts. Other drawbacks include limited access to capital, long working hours, and lack of continuity if the owner is ill or dies.

5. Partnership |

A partnership is a business owned by two or more people who share capital, responsibilities, and profits. Partnerships are common in professions such as law, accountancy, and medicine. A partnership agreement, or deed of partnership, usually sets out profit-sharing ratios, roles, and procedures for admitting or removing partners.

Advantages include more capital and a wider range of skills than a sole trader, as well as shared decision-making and risk. Partners can specialise in different areas, improving efficiency and the quality of management.

Disadvantages include unlimited liability for ordinary partners, potential conflicts between partners, and shared profits. A limited liability partnership, or LLP, reduces personal financial risk but adds legal complexity and may not be available in all countries.

6. Private Limited Company (Ltd) |

A private limited company is a separate legal entity from its owners, who are called shareholders. Shareholders have limited liability, so they can only lose the amount they invested in the company. Shares are not offered to the general public and cannot be freely traded on a stock exchange.

Advantages include limited liability, greater access to finance than unincorporated businesses, and continuity if a shareholder dies or sells shares. This makes the private limited company a popular choice for growing family businesses.

Disadvantages include more complex and expensive set-up, legal and accounting requirements, and less privacy because certain financial information must be filed with the registrar of companies. Selling shares may also dilute the original owners’ control.

7. Public Limited Company (PLC) |

A public limited company is a company whose shares can be offered to the general public and traded on a stock exchange. PLCs are heavily regulated: they must publish audited accounts, hold annual general meetings, and comply with stock exchange listing rules. In many jurisdictions, they must also meet minimum share capital requirements before trading.

The main advantage is the ability to raise very large amounts of capital by selling shares to the public. This makes the PLC structure suitable for large firms that need significant investment for expansion, such as multinational retailers or manufacturers.
