📚 IGCSE Business Studies: Types of Business Organisation | IGCSE

Business organisations exist in many legal forms, including sole traders, partnerships, private limited companies, public limited companies and cooperatives. Each form differs in ownership, control, liability and access to finance, and the choice has major consequences for the owners.

1. Sole Trader |

A sole trader is a business owned and controlled by one person. The owner makes all decisions, keeps all profits and is personally responsible for all debts. Because there is no separate legal identity, the owner has unlimited liability.

The main advantages are that it is quick and cheap to set up, the owner has full control, and profits do not have to be shared. However, the sole trader may find it difficult to raise finance, has limited expertise, and may need to work long hours to keep the business running.

It is common in local services such as hairdressing, plumbing, farming and small retail shops.

2. Partnership |

A partnership is formed by two or more people (usually up to 20, though the legal maximum may vary by country) who share ownership, profits and decision-making. Many professionals, such as doctors, lawyers and accountants, use this structure.

Partnerships allow more capital to be raised, bring together complementary skills, and share the workload and risk. The main disadvantages are that profits must be shared, decisions may be slower because partners need to agree, and there is the risk of disagreements between partners.

Unless the partnership is a limited liability partnership, each partner has unlimited liability. This means that partners are personally responsible for the debts of the business, even if the debt was caused by another partner.

3. Private Limited Company (Ltd) |

A private limited company is a separate legal entity from its owners. It is owned by shareholders who cannot sell their shares to the public without the agreement of other shareholders. The name of the company usually has the word ‘Limited’ or ‘Ltd’ after it.

Because it has a separate legal identity, the company can own property, sue and be sued in its own name. Shareholders enjoy limited liability, meaning they can only lose the amount they invested in the company if the business fails.

Other advantages include continuity of existence (the company continues even if shareholders change) and easier access to finance through the sale of shares to selected investors. However, private limited companies face more legal formalities and must publish their annual accounts, which reduces privacy.

4. Public Limited Company (Plc) |

A public limited company, or plc, is a company whose shares are offered for sale to the general public on a stock exchange. This allows the company to raise very large amounts of capital from many external investors.

The main advantage is the ability to raise large finance, which can be used for expansion, research and development, or paying off debt. A plc also gains higher status and credibility, which can help it negotiate better deals with suppliers and lenders.

However, a plc is subject to stricter legal controls and must publish detailed financial information. There is also the danger that the original owners may lose control, because outside shareholders can buy a controlling stake. In some countries, a plc needs a minimum share capital before it can be formed.

5. Cooperative | 合作社

A cooperative is owned and controlled by its members, who may be workers, customers or producers. Each member usually has one vote regardless of how much money they have invested, which makes the structure democratic.

Worker cooperatives aim to provide employment and fair income for members, while consumer cooperatives aim to buy goods in bulk for members at lower prices. Retail cooperatives are common in agriculture, food and retail industries.

The main advantages are strong motivation because members share the profits, a clear social or community purpose, and fairer distribution of returns. The disadvantages include limited access to finance, slower decision-making due to the democratic process, and the fact that members may lack specialist management skills.

6. Limited and Unlimited Liability |

Liability is the legal responsibility of the owners for the debts of the business. In a sole trader or traditional partnership, owners have unlimited liability, so their personal assets, such as a house or car, can be sold to pay business debts.

In limited companies and limited liability partnerships, owners have limited liability. They are only responsible for the amount they have invested or agreed to pay for their shares. This protects their personal wealth if the business fails.

Limited liability is a key reason why many entrepreneurs choose to form a company, even though it involves more legal paperwork.

7. Internal Structure and Governance |

In a company, the owners are shareholders, but they do not usually run the business day-to-day. Instead, shareholders elect a board of directors at the Annual General Meeting. The board makes major decisions and appoints managers to run daily operations.

This creates a separation between ownership and control. A potential problem is that managers may pursue their own interests rather than the shareholders’ interests, which is called the principal-agent problem.

In a sole trader or partnership, the owners and managers are the same people, so there is no such separation. In a cooperative, the members directly control the business through voting, often at general meetings.

8. Comparison Table |

Access to finance 融资能力 Low 低 Medium 中 Medium-high 中高 High 高

The table shows a clear trade-off: unlimited liability forms are easier to set up, but limited liability forms offer greater financial security and growth potential.

9. Choosing the Right Form |

Entrepreneurs must consider several factors when choosing a legal structure. The size of the business and its ambition for growth are important: a small local shop may simply be a sole trader, while a business planning to raise capital from the public must become a plc.

The degree of risk is another factor. If the owners want to avoid losing personal assets, a limited liability company is safer. However, running a company involves more reporting, higher administration costs and greater complexity.

Tax treatment and legal obligations also vary. It is wise to read the requirements of the national Companies Act, because each country has different rules for registration, minimum capital and financial disclosure.

10. Other Business Organisations |

Besides the main private sector forms, IGCSE students should be aware of public corporations (state-owned enterprises) and social enterprises. A public corporation is owned by the government and provides essential services such as transport, energy or postal services.

A social enterprise is a business with primarily social or environmental objectives, and it reinvests most of its profits into the community rather than paying them out to shareholders. Charities and community interest companies are examples.

Understanding these alternatives helps you evaluate how the objectives of a business influence its legal structure.

11. Exam Tips and Common Mistakes |

When answering questions on business organisation, always define the type clearly and give a real or realistic example. Use case study evidence to support your comparison of advantages and disadvantages.

Common mistakes include confusing a private limited company with a public limited company, or saying that shareholders have limited liability in a sole trader. Remember that the key difference is the ability to sell shares to the public.

Also, do not state that partnerships automatically have limited liability. Traditional partnerships normally have unlimited liability unless they are registered as a limited liability partnership or company.

Finally, practise writing short explain paragraphs linking the form of organisation to the objectives and size of the business.

12. Conclusion | 总结

The choice of business organisation is a fundamental decision for any entrepreneur. Sole traders and partnerships are simple and flexible but carry unlimited liability, while companies and plcs offer limited liability and easier capital raising but with more regulation and public scrutiny.

Cooperatives and social enterprises provide alternative models that prioritise democratic control or social impact. To score well in IGCSE Business Studies, you should be able to compare these forms, evaluate their suitability and use relevant examples.
