In A-Level Business, understanding business structure is fundamental to analysing how organisations operate, grow, and are governed. A business structure determines legal status, ownership rights, liability exposure, tax obligations, and access to capital. The CAIE syllabus requires candidates to compare different forms of ownership, evaluate their advantages and disadvantages, and apply these concepts to real-world case studies.

1. Legal Forms of Business Ownership | 企业的法定组织形式

Businesses can be classified into three broad legal categories: unincorporated businesses (sole traders and partnerships), incorporated businesses (private limited companies and public limited companies), and public sector organisations. Unincorporated businesses have no separate legal identity, meaning the owner and the business are legally inseparable. Incorporated businesses are legal entities distinct from their owners, capable of owning assets, signing contracts, and being sued in their own name.

2. Limited and Unlimited Liability | 有限责任与无限责任

Unlimited liability means owners are personally responsible for all business debts. If a business fails, creditors can pursue the owner’s personal assets — savings, property, even a family car — to settle outstanding obligations. Sole traders and general partners bear this risk, which is a powerful incentive to manage finances prudently but also a serious deterrent to risk-taking and entrepreneurship.

无限责任意味着企业主须以个人资产承担企业全部债务。如果企业倒闭,债权人可追索企业主的个人资产——存款、房产甚至家用汽车——来清偿未偿债务。个体经营者和普通合伙人承担这一风险,这虽是谨慎理财的强力激励,但也是抑制冒险和创业精神的一大障碍。

Limited liability, by contrast, protects shareholders: the maximum loss they can suffer is the amount they invested in the company. creditors cannot claim personal assets of shareholders. It also explains why incorporation is so popular among growing businesses.

3. Ownership versus Control | 所有权与控制权分离

In a small business, the owner and the manager are usually the same person. However, as a business grows and incorporates, shareholders (the owners) elect directors (the managers) to run the company on their behalf. This separation is known as the divorce of ownership and control — a core concept in the CAIE syllabus.

This gives rise to the principal-agent problem. Shareholders are the principals who want to maximise returns; directors are the agents who may pursue their own goals, such as building empires, boosting their own salaries, or avoiding risky but profitable projects. Agency costs arise from monitoring management and designing incentive schemes, such as performance-related pay, share options, and bonuses, to align the interests of agents with those of principals.

私营有限公司是由股东(通常是家庭成员、朋友或特定投资者)所有的法律实体。其股份不能向公众公开发售,任何股份转让通常需要董事会批准。公司名称后缀为”Ltd”。

Advantages: limited liability for shareholders; continuity of existence — the company continues even if a shareholder dies or sells shares; easier access to capital than a sole trader, since more owners can contribute funds; and greater credibility with suppliers and banks compared with unincorporated businesses.

Disadvantages: profits must be shared among shareholders; more complex legal and administrative requirements, including filing annual accounts with the registrar; restrictions on share transfer reduce investor flexibility; and in many jurisdictions, financial statements are open to public inspection.

It must publish a prospectus before listing, meet strict disclosure rules, and produce audited annual reports. Names of public limited companies end with “Plc” in the UK, or “Ltd/Corp” in other jurisdictions.

Advantages: access to enormous pools of capital from the public; limited liability encourages widespread share ownership; high profile and credibility may attract customers and strategic partners; the ability to use shares as currency for acquisitions enables rapid expansion.

Disadvantages: original owners lose control because anyone can buy shares, raising the threat of hostile takeovers; listing and compliance costs are high; pressure from institutional investors may force managers to prioritise short-term profits over long-term strategies; and the divorce of ownership from control increases agency costs.
